1. Parties & Scope
This Domain Name Registration Agreement (the "Agreement") is between Worldwide Domain Registry Limited, a company registered in England & Wales (company number 15158072, registered office 15 Albert Street, Milnrow, Rochdale, England, OL16 3NS) ("WDR", "we", "us"), an ICANN-accredited registrar, and the person or entity registering a domain name ("you", the "Registrant"). It governs every domain name registration, renewal or transfer sponsored by WDR, whether purchased from WDR directly or through one of our authorised resellers.
By registering, renewing or transferring a domain through WDR you accept this Agreement, the policies referenced in it, and the applicable registry operator's terms.
2. Your Reseller
WDR is a wholesale registrar: most registrations are sold by independent resellers under their own brands. In accordance with Section 3.12 of the ICANN 2013 Registrar Accreditation Agreement ("RAA"), your reseller is required to present you with this Agreement and may not offer terms that conflict with it. Your reseller is your first point of contact for billing and support; WDR remains the sponsoring registrar of record and honours the obligations owed to you under the RAA regardless of any reseller's acts or omissions.
3. Fees, Term & Renewal
- Registration terms run from one to ten years depending on the extension.
- Fees are those agreed with WDR or your reseller at the time of the transaction. Fees are non-refundable except where required by law or a registry's add-grace-period rules.
- Where auto-renew is enabled, domains renew at the then-current renewal fee. You may disable auto-renew at any time before expiry.
4. Expiration & Redemption
In line with ICANN's Expired Registration Recovery Policy (ERRP):
- Renewal reminders are sent approximately one month and one week before expiry, and again within five days after expiry if the domain has not been renewed.
- After expiry a domain may stop resolving and its services may be interrupted or replaced with a parking notice.
- For at least 30 days following expiry (the Redemption Grace Period, where supported by the registry) the domain can be restored, subject to a redemption fee in addition to the renewal fee.
- If not renewed or redeemed, the domain is released for deletion and may be registered by any third party. Current registration and post-expiry fees are published by WDR or your reseller.
5. Accurate Registration Data
Under Section 3.7.7 of the RAA and the WHOIS Accuracy Program Specification, you must:
- provide accurate, current and complete registrant, administrative and technical contact information;
- correct or update that information within seven (7) days of any change;
- respond within fifteen (15) days to any inquiry from WDR concerning the accuracy of your data.
Wilfully providing inaccurate information, or failing to respond within fifteen days, is a material breach of this Agreement and grounds for suspension or cancellation of the registration. Licensing a domain to a third party does not relieve you of responsibility: if you license use of the domain, you remain the registrant of record and accept liability for wrongful use unless you promptly disclose the licensee's identity when presented with evidence of actionable harm.
6. WHOIS / RDDS & Data Escrow
You consent to the processing and publication of registration data in Registration Data Directory Services (WHOIS/RDAP) to the extent required by ICANN policy, registry policy and applicable data protection law. Data elements that must not be published are protected as described in our Privacy Policy. As required by Section 3.6 of the RAA, WDR deposits registration data with an ICANN-approved escrow agent ([●]) so that registrations survive a registrar failure.
7. Your Rights & Responsibilities
ICANN publishes a summary of Registrant Rights and Responsibilities and Registrant Benefits and Responsibilities under the 2013 RAA. Those documents are incorporated into this Agreement by reference and prevail over any conflicting summary in marketing material.
8. Transfers
Inter-registrar transfers are governed by ICANN's Transfer Policy. In particular:
- You may request your transfer authorisation code at any time; WDR will provide it within five (5) calendar days.
- Domains are locked against transfer for 60 days after initial registration and after a change of registrant, as required by policy.
- WDR will not deny a transfer except on the limited grounds permitted by the Transfer Policy (e.g. evidence of fraud, UDRP action, court order, unpaid fees).
9. Dispute Policies
You agree to be bound by the dispute resolution policies described in our Dispute Policy, including the UDRP, URS (where applicable) and TDRP, each incorporated into this Agreement by reference.
10. Suspension & Cancellation
WDR may suspend, cancel, lock, transfer or modify a registration where required to: comply with ICANN or registry policy, a court order, or applicable law; resolve a dispute under an applicable dispute policy; address a breach of this Agreement, including non-payment or inaccurate data; or respond to well-founded reports of abuse (including phishing, malware distribution, botnet command-and-control, pharming or spam that uses the domain). Abuse reports may be sent to [email protected] and are reviewed within 24 hours.
11. Registry Policies
Each extension is subject to the policies of its registry operator (for example eligibility rules, reserved names, and acceptable-use policies). Those policies are incorporated by reference and may change; the current versions are available from the relevant registry. For .uk domains, the registry is Nominet and Nominet's terms and its Dispute Resolution Service apply in place of the UDRP.
12. Liability & Indemnity
To the maximum extent permitted by law, WDR's aggregate liability under this Agreement is limited to the fees you paid for the registration concerned during the twelve months preceding the claim, and WDR is not liable for indirect or consequential loss, loss of profits, or loss of data. Nothing limits liability that cannot be limited under English law. You agree to indemnify WDR, the registry operator and ICANN, and their employees and agents, against claims arising from your registration or use of the domain, except where caused by our own breach or negligence.
13. Governing Law & Changes
This Agreement is governed by the laws of England & Wales, and the courts of England & Wales have non-exclusive jurisdiction, without prejudice to mandatory consumer protections of your country of residence. WDR may revise this Agreement to reflect changes in law, ICANN or registry policy; material changes will be notified to your registered email address at least 30 days before they take effect.
